Terms of Service

1. Introduction and acceptance
These Terms of Service (the "Terms") are a legal agreement between you ("you", "your") and Postential, doing business as Postential ("Postential", "we", "us", "our"). "Service" means the Postential website, application, software, APIs, and related services we provide.
By creating an account, accessing, or using the Service, you agree to these Terms and to our Privacy Policy. If you do not agree, you must not use the Service.
2. Eligibility
You must be at least 18 years old and legally able to enter into a binding contract to use the Service. Postential is not directed to children. If you are using the Service on behalf of an organization, you represent that you are authorized to bind that organization to these Terms.
3. Account registration
- You must provide accurate, current, and complete information when creating your account.
- You are responsible for maintaining the confidentiality of your credentials and any second-factor codes.
- You must not share your credentials in any unauthorized manner.
- Subject to applicable law, you are responsible for activity that occurs through your account.
- We may suspend or terminate accounts that violate these Terms.
4. Business accounts
Postential is designed for beauty businesses — including salons, hairstylists, nail technicians, lash artists, estheticians, barbers, makeup artists, med spas, and other beauty professionals. You may use the Service for legitimate business purposes only.
- You are responsible for ensuring you have authority to upload business materials and to connect any social media accounts to the Service.
- If an employee, contractor, agency, or other person uses the Service on behalf of a business, that person must be authorized by the business to do so, and the business remains responsible for their activity.
5. Description of the Service
Postential provides tools that may include, without limitation:
- AI-generated captions, marketing copy, and content ideas
- AI-assisted image and logo generation and editing
- Content templates and brand asset management
- Content calendars and scheduling
- Publishing to connected social media platforms where supported
- Automated reply rules for supported social platforms
- Analytics and reporting
- An AI chat assistant
We may add, modify, or discontinue features from time to time. Some features may be limited by your subscription plan.
6. AI-generated content
- AI-generated content may contain errors, inaccuracies, or biases. It may also reflect the limitations of the underlying models.
- You must review all AI output before publishing, sharing, or using it commercially.
- We do not guarantee that AI output is accurate, original, appropriate, safe, or suitable for any particular purpose.
- You are responsible for ensuring your use of AI output complies with applicable laws, advertising rules, and the terms of any third-party platform where you publish it.
- We do not guarantee that AI output is free from third-party intellectual property claims.
- AI output is not, and should not be relied upon as, legal, financial, medical, or other professional advice.
7. User Content
"User Content" means any text, prompts, captions, images, logos, brand assets, videos, social media posts, or other materials that you upload, submit, generate through, or connect to the Service.
- You retain ownership of your User Content to the extent you own it.
- You grant Postential a worldwide, non-exclusive, royalty-free, sublicensable license to host, store, process, reproduce, transmit, and display User Content solely as necessary to provide, secure, and operate the Service for you.
- This license ends when you delete the applicable User Content, except where retention is legally required or technically necessary (for example, backups pending overwrite).
- We do not claim ownership of your business content.
8. Your responsibility for uploaded content about other people
You are solely responsible for ensuring that you have all necessary rights, permissions, consents, and lawful bases to upload or process content that includes or relates to other people, including but not limited to:
- Client photographs, including before-and-after photographs
- Testimonials, reviews, and names
- Any personal information relating to your clients or other third parties
You must not upload or process another person's personal information through the Service unless you have a lawful basis and all consents required by applicable law.
9. Social media integrations
- You may connect third-party platforms (such as Meta/Instagram/Facebook or X) to the Service.
- By connecting a platform, you authorize Postential to access and use the permissions you grant, solely to provide the requested integration.
- You remain responsible for your third-party accounts and for compliance with those platforms' terms and policies.
- We do not control third-party platforms. Their functionality, APIs, permissions, and availability may change at any time.
- You may disconnect integrations from the account settings where this functionality is available.
- We are not responsible for changes, outages, suspensions, or actions taken by any third-party platform.
10. Acceptable use
You agree not to use the Service to:
- Violate any applicable law or regulation, or third-party rights (including intellectual property, privacy, and publicity rights).
- Engage in fraud, impersonation, harassment, abuse, or hate-based content.
- Distribute malware, or attempt to compromise the security or integrity of the Service.
- Gain unauthorized access to the Service or to any account, system, or data.
- Reverse engineer, decompile, or disassemble the Service, except to the extent this cannot be prohibited by applicable law.
- Circumvent usage limits, rate limits, entitlement checks, or other technical restrictions.
- Scrape or extract data from the Service without our written authorization.
- Violate the rules or terms of any third-party platform you connect to the Service.
- Upload content that you do not have the rights to use.
- Upload personal information without a lawful basis and any required consents.
- Generate or distribute unlawful, defamatory, obscene, deceptive, or otherwise harmful content.
Additional restrictions are set out in our Acceptable Use Policy, which is incorporated into these Terms by reference.
11. Intellectual property
The Service and all related software, branding, trademarks, design, interface, code, documentation, and original materials are owned by Postential or its licensors and are protected by applicable intellectual property laws.
Subject to your compliance with these Terms and payment of any applicable fees, we grant you a limited, non-exclusive, non-transferable, revocable right to access and use the Service during the term of your account. You may not copy, reproduce, modify, distribute, sell, publicly display, or create derivative works of the Service, except as permitted by applicable law.
12. Feedback
If you voluntarily provide feedback, suggestions, or ideas about the Service, you agree that we may use them without any obligation or compensation to you, to the extent permitted by law.
13. Subscriptions and billing
- Postential is offered on paid subscription plans. Available plans, features, prices, and billing frequencies are described on our Pricing page.
- Subscriptions may be offered on monthly and, where indicated, annual billing cycles.
- Fees are charged in the currency shown at checkout and may be subject to applicable taxes.
- Payments are processed by our third-party payment processor. By subscribing, you agree to the payment processor's terms.
- Subscriptions renew automatically at the end of each billing period at the then-current price for your plan, unless cancelled before renewal.
- If a payment fails, we may retry the charge, suspend paid features, or downgrade your account until payment is successful.
- We may change prices as described in Section 17.
14. Free trial
14-day free trial with no credit card required. Users can access the applicable paid plan features for 14 days. At the end of the trial, users must select a paid subscription and provide payment information to continue using paid features.
- The trial lasts 14 days.
- No payment method is required to start the trial.
- When the trial ends, you will not have continued access to paid Postential features until a paid subscription is started.
- Because no payment method is collected, the trial does not automatically convert into a paid subscription.
- You can cancel at any time by going to Billing on your account and clicking "Cancel subscription" → "Continue to cancel".
15. Cancellation
You may cancel your subscription at any time from Billing in your account settings. Cancellation stops future charges. Unless required by applicable law, cancellation does not entitle you to a refund of amounts already paid for the current billing period, and you may continue to access paid features until the end of that period.
16. Refund policy
Refunds are addressed in our Refund Policy, which forms part of these Terms. Nothing in these Terms limits any rights or remedies you may have under applicable consumer protection laws.
17. Price changes
We may change subscription prices from time to time. We will provide reasonable prior notice of material price changes by email or in-app notice. New prices will take effect at the start of your next billing period after the notice. If you do not accept the new price, you may cancel before it takes effect. This section does not override mandatory consumer rights.
18. Suspension and termination
We may suspend or terminate your access to all or part of the Service, with or without notice, if:
- You violate these Terms or the Acceptable Use Policy;
- We reasonably suspect fraud, abuse, or a security risk;
- Required by law or a legal request;
- Your account is non-paying and past due; or
- Other legitimate operational, legal, or safety reasons apply.
After termination, your access to the Service will end. We may retain or delete your User Content in accordance with our data retention practices and applicable law. You may export supported data before termination where such functionality is available.
19. Service availability
We do not guarantee that the Service will be uninterrupted, timely, secure, or error-free. Maintenance, updates, third-party outages, and circumstances outside our control may affect availability.
20. Third-party services
The Service relies on third-party providers, which may include, without limitation, payment processing, AI/model providers, cloud hosting, analytics, email delivery, and social media platforms. Your use of any third-party service is subject to that provider's terms and privacy policy. We are not responsible for third-party services.
21. Disclaimers
To the maximum extent permitted by applicable law, the Service and all AI outputs are provided on an "as is" and "as available" basis, without warranties of any kind, whether express, implied, statutory, or otherwise, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
- AI outputs may be inaccurate, and you are responsible for reviewing them before use.
- We do not guarantee any specific business result, revenue, followers, engagement, bookings, or customers.
- We do not guarantee that content generated through the Service will comply with every advertising, industry, or platform rule.
22. Limitation of liability
To the maximum extent permitted by applicable law, Postential and its officers, employees, and affiliates will not be liable for any indirect, incidental, special, consequential, punitive, or exemplary damages, or for any loss of profits, revenue, data, goodwill, or business opportunities, arising out of or relating to the Service or these Terms.
Our aggregate liability for any claim relating to the Service or these Terms will not exceed the greater of (a) the amounts you paid to Postential for the Service in the twelve (12) months preceding the event giving rise to the claim, or (b) one hundred Canadian dollars (CAD $100). Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable law.
23. Indemnification
To the extent permitted by applicable law, you agree to defend, indemnify, and hold harmless Postential and its officers, employees, and affiliates from any claims, damages, liabilities, costs, and expenses (including reasonable legal fees) arising from or relating to: (a) your User Content; (b) your use of the Service; (c) your violation of these Terms; (d) your violation of applicable law or third-party rights; or (e) your connected social accounts.
24. Governing law and jurisdiction
These Terms are governed by the laws of Ontario, Canada, without regard to conflict-of-laws principles. Subject to any mandatory rights you have under applicable consumer protection law, the parties submit to the exclusive jurisdiction of the courts located in Ontario, Canada, with the appropriate courts in the Regional Municipality of Peel having jurisdiction where applicable.
25. Dispute resolution
Before starting a formal claim, the parties will try to resolve any dispute informally by contacting legal@postential.com. If the dispute is not resolved within a reasonable period, either party may pursue available remedies in the courts identified above, subject to your mandatory consumer rights.
26. Changes to these Terms
We may update these Terms from time to time. When we do, we will update the "Last updated" date above. Material changes will be communicated by email or in-app notice. Where legally permitted, your continued use of the Service after the new effective date constitutes acceptance of the updated Terms. Where required, we will ask you to re-accept the updated Terms.
27. Severability
If any provision of these Terms is held invalid or unenforceable, the remaining provisions will remain in full force and effect.
28. Waiver
Our failure to enforce any provision of these Terms is not a waiver of that provision or any other provision.
29. Entire agreement
These Terms, together with the Privacy Policy, Cookie Policy, Acceptable Use Policy, and Refund Policy, constitute the entire agreement between you and Postential regarding the Service and supersede any prior agreements between the parties on that subject.
30. Assignment
You may not assign or transfer these Terms without our prior written consent. We may assign these Terms to an affiliate or in connection with a merger, acquisition, corporate reorganization, or sale of all or substantially all of our assets.
31. Force majeure
Neither party will be liable for any delay or failure to perform caused by events beyond its reasonable control, including acts of God, natural disasters, war, terrorism, civil unrest, labor disputes, government action, internet or telecommunications failures, or third-party service outages.
